A Call for Reconciliation and the Future of PRG Holdings Berhad

As the former Group Managing Director and former Executive Vice Chairman of PRG Holdings Berhad, I have watched recent developments involving the company with great concern and sadness.


Having been with PRG for nine years from 2013 to 2024, I always have sentimental value for the company. 


More importantly, I understand the dynamics and DNA of the company.

 

PRG is a company that many people have devoted years of hard work to building. 


It has been through ups and downs, and we have overcome numerous challenges throughout its journey. 


It is unfortunate that today, the company’s future prospects are being overshadowed by an extremely public dispute between its two largest shareholders - Datuk Ng Yan Cheng with a 16.6% stake, and Datuk Sheah Kok Fah with a 8.14% stake. 


Having reflected on the situation, I firmly believe that this has become a battle in which there are no real winners.


If the current impasse continues, the greatest casualty will not be either individual, but PRG itself. 


Its shareholders, employees, customers, business partners and other stakeholders will ultimately bear the consequences of prolonged uncertainty and instability.


I therefore make a sincere appeal to both Datuk Ng Yan Cheng and Datuk Sheah Kok Fah to put aside their differences and return to the negotiating table. 


Open, respectful and constructive dialogue is now more important than ever.


Both parties have played significant roles in PRG’s history. 


Rather than continuing a prolonged confrontation, I hope they can work together to address the issues that have arisen, strengthen the company’s governance framework, and establish a system of effective checks and balances that will restore confidence in PRG.


The reality is that regardless of the outcome of any current corporate contest, both parties will continue to play important roles in PRG’s future. 


Datuk Ng remains the company’s largest shareholder, while Datuk Sheah has demonstrated substantial shareholder support. 


If Datuk Ng wins the battle, he still has to contend with Datuk Sheah having the current majority block of shareholder support. 


If Datuk Sheah wins, he too needs to continue working with Datuk Ng, as he is the single largest shareholder. 


Therefore, a prolonged deadlock will not produce a sustainable solution. Instead, it will continue to consume management’s attention, weaken market confidence, and diminish shareholder value.


Datuk Ng has supported the company during its difficult times. 


Meanwhile, Dato Sheah has also made meaningful contributions to PRG, including during his tenure as PRG’s joint venture partner in the Embayu @ Damansara West development.


This became one of the company’s notable success stories. 


Therefore, their respective contributions to PRG should be recognised and respected.


Corporate governance should never be viewed as a contest between individuals. 


It should be viewed as a shared responsibility to protect the interests of all shareholders and ensure the long-term sustainability of the company.


The time has come to look beyond personal differences and focus on rebuilding PRG. 


The company deserves stability and it’s employees deserve certainty. 


Its shareholders deserve leadership that is capable of working together and ultimately to create shareholder value.


I remain hopeful that wisdom, mutual respect and a genuine commitment to the company’s future will prevail.


History will not remember who won a corporate dispute. 


It will remember those who had the courage to put the interests of the company above personal differences.


PRG has tremendous potential. Let us not allow conflict to define its future.

Let us bring PRG back to its glory days.
